1. Scope of the Terms and Conditions
- The business relationship between Skeld-Schneidemesser, owner: Alexander Mettke, Am Rathausring 5, 74889, Sinsheim (hereinafter referred to as the “Provider”) and the purchaser of the Provider’s products, hereinafter referred to as the “Customer,” is governed exclusively by the following General Terms and Conditions (hereinafter referred to as the “GTC”).
- Any deviating terms and conditions of the Customer shall not be recognized, even if the Provider renders its services without objection, unless the Provider expressly agrees to the applicability of the Customer’s deviating terms and conditions.
- All references to persons apply equally to both genders. For the sake of readability, the simultaneous use of masculine and feminine forms has been omitted.
- “Consumer” as defined in these GTC is any natural person who enters into a legal transaction for purposes that are predominantly neither related to their commercial nor their self-employed professional activity.
- “Business Customer” as defined in these Terms and Conditions means a natural person, a legal entity, or a partnership with legal capacity that, when entering into a legal transaction, acts in the course of its commercial or self-employed professional activities.
- “Product” as used in these Terms and Conditions refers to any goods, services, or other offerings provided by the Provider, including any accessories and accompanying documentation, which, in accordance with the product description provided by the Provider to the Customer or any other agreement, constitute the subject matter of the contract between the Provider and the Customer.
- Regardless of the terms used in these Terms and Conditions, such as “Provider,” the legal classification of the contract and the applicable legal provisions are always determined by the statutory requirements for the respective types of contracts. These Terms and Conditions do not restrict the statutory definitions and provisions in any way.
2. Contact and Service Information
- Please note the following information regarding how to reach our customer service.
- Email address: support@skeld.de
- Phone number: +4915223897997
- Contact form: https://skeld.de/pages/kontakt-schnelle-antwort-auf-ihre-frage
3. General Information Regarding Offers and Orders
- The presentation and promotion of products on the provider’s websites and in digital or printed informational materials do not constitute a binding offer to enter into a contract, but rather a non-binding invitation to the customer to submit an offer to purchase the goods displayed.
- Customers are responsible for ensuring that the information they provide is accurate and for notifying the provider of any changes if such changes are necessary for the provider to fulfill the contract. In particular, customers must ensure that the email, shipping, and delivery addresses provided are accurate and that any obstacles to receipt for which the customer is responsible are taken into account accordingly (e.g., by checking the spam folder of their email software).
- Customers are asked to carefully read and follow the instructions provided during the ordering process and, if necessary, to use the available support features of their software and hardware (e.g., zoom or text-to-speech functions). Required information is clearly marked by the provider in a manner reasonably recognizable to the customer (e.g., through visual highlighting and/or asterisks). Until the order is submitted, customers can change and review their product selection and entries at any time, as well as go back in the ordering process or cancel the order entirely. To do so, customers may use the standard functions available in their software and/or on their device (e.g., the browser’s forward and back buttons, or keyboard, mouse, and gesture functions on mobile devices). Furthermore, incorrect entries can be corrected by canceling the order process.
4. Order Process and Conclusion of Contract
- The customer may select from the products offered by the provider and add them to a “shopping cart” or a corresponding selection overview. Within this selection, the customer may edit their selection, in particular by making changes or removing individual items. Otherwise, the customer may proceed to complete the ordering process.
- By clicking the button that concludes the ordering process, the customer submits a binding offer to the provider to purchase the products contained in the shopping cart or a corresponding selection overview.
- The provider accepts the customer’s offer, depending on which event occurs first, (i) by an express declaration of acceptance in writing (e.g., via email, (ii) by completing the payment process, (iii) by issuing a payment request to the customer, (iv) in the case of an order for goods, by shipping them; in the case of a service, by commencing the service; and in all other cases, by making the product available in accordance with the contract. The provider may accept the customer’s offer within the acceptance period. The acceptance period is five days. The acceptance period begins when the customer completes the ordering process and ends at the close of its final day. If the provider does not accept the customer’s offer within the acceptance period, no contract is formed, and the customer is no longer bound by their offer.
- A contract between the customer and the provider may also be concluded via email. The customer may submit a binding offer to the provider via email or, if the provider submits a binding offer, accept it via email.
5. Order Process and Conclusion of Contract on the Amazon Platform
- The terms of this section apply to orders placed via the Amazon platform. The purchase contract is concluded with the seller and not with Amazon.
- The customer may select products from the seller’s product range offered to the customer and add them to a “shopping cart.” The product selection within the shopping cart can be modified, e.g., by deleting items. Otherwise, the customer may proceed to complete the order process.
- In addition to the ordering process via Amazon’s “Shopping Cart” system, the customer may complete the ordering process directly by clicking Amazon’s “1-Click” or “Buy Now” buttons. In this case, an order is automatically generated and shipped to the shipping address the customer has on file with Amazon. The order can then be modified or canceled in the order overview under “My Account.” The purchase price is paid using the payment method the customer has on file with Amazon for the “1-Click” or “Buy Now” processes. The customer is informed of the shipping and payment options via a separate notice and may further modify the shipping and payment details in the “My Account” section. Use of the “1-Click” or “Buy Now” methods may also require the customer to activate them in their Amazon account.
- The seller may accept the customer’s offer within the acceptance period. The acceptance period is five days. The acceptance period begins when the customer completes the ordering process and ends at the close of its final day. The seller may accept the customer’s offer by explicitly accepting the contract—either directly or through Amazon, including via email. Acceptance may also occur through the shipment of the goods and their receipt by the customer within the acceptance period, as well as through a payment request sent by the seller or by Amazon to the customer, and no later than the completion of the payment process. In the event of multiple acts of acceptance, the earliest time of acceptance shall prevail. If the seller does not accept the customer’s offer within the acceptance period, no contract is formed, and the customer is no longer bound by their offer.
6. Order Process and Conclusion of Contract on the eBay Platform
- The terms of this section apply to orders placed via the eBay platform. The purchase contract is concluded with the seller and not with eBay.
- By posting an offer in auction format or as a fixed-price purchase, the seller makes a binding offer to conclude a contract in accordance with the product details and terms specified. By placing a bid, the eBay user accepts the offer subject to the condition precedent of being the highest bidder at the end of the time period specified by the seller. If the eBay user’s bid is outbid, their offer expires. The seller may set a minimum price that must be reached for the contract to be concluded. By clicking a “Buy It Now” button provided as part of the offer, the eBay user can purchase the item immediately. In the case of auction formats, the “Buy It Now” option is only available as long as no bid has yet been placed on the offer or the minimum price has not been reached. For items with the “Instant Payment” option, the contract is not concluded until the subsequent payment process is completed. It is possible to purchase multiple items at a fixed price, provided they are added to the shopping cart using the shopping cart function and the payment process is then completed.
- If the submission of a price proposal is permitted, the eBay user’s price proposal constitutes a purchase offer, which the seller may accept or reject. The seller may also submit a counteroffer, which the eBay user may in turn accept or respond to with a counteroffer of their own. If an offer is accepted by the eBay user or the seller, the purchase contract is concluded. Price proposals are valid until the end of the listing and for a maximum of 48 hours. When using the “Price Proposal” option in a listing, immediate payment is not required unless the eBay user was prompted to confirm their payment method when entering their price proposal.
- Customers who are registered for the “eBay Plus” option have the option to receive a Hermes return label from eBay for return shipping purposes. To do so, customers must meet the following requirements and conditions: https://www.ebay.de/help/. In this case, customers can drop off the package at a nearby Hermes PaketShop.
7. Order Process and Conclusion of Contract on the Etsy Platform
- The terms of this section apply to orders placed via the Etsy platform. The purchase contract is concluded with the seller and not with Etsy.
- The seller may accept the customer’s offer within the acceptance period. The acceptance period is five days. The acceptance period begins when the customer completes the ordering process (in the shop, or—if used and specified—on the platform used or via other means of communication) and ends at the close of its final day. The seller may accept the customer’s offer by explicitly accepting the contract, including via email. Acceptance may also occur through the shipment of the goods and their receipt by the customer within the acceptance period, as well as through a payment request sent by the seller to the customer and, at the latest, upon completion of the payment process. In the event of multiple acts of acceptance, the earliest time of acceptance shall prevail. If the seller does not accept the customer’s offer within the acceptance period, no contract is formed and the customer is no longer bound by their offer.
-
The customer may select products from the provider’s product range offered to the customer and add them to a “shopping cart.” The product selection within the shopping cart can be modified, e.g., by deleting items. Otherwise, the customer may proceed to complete the order process.
- By clicking the button that completes the ordering process, the customer submits a binding offer to the provider to purchase the products in the shopping cart.
8. Order Process and Conclusion of Contract on the kleinanzeigen.de Platform
- The terms of this section apply to orders placed via the kleinanzeigen.de platform. The purchase contract is concluded with the seller and not with the operator of kleinanzeigen.de.
-
The customer may send the seller a non-binding request via email to submit an offer. Upon the customer’s request, the seller will provide the customer with a binding offer in writing (e.g., via email, fax, or letter) for the sale of the goods or services previously selected by the customer from the seller’s range of goods and services.
- The provider may accept the customer’s offer within the acceptance period. The acceptance period is five days. The acceptance period begins when the customer sends the provider a corresponding declaration via email, fax, telephone, mail, or through the “Send Message” function on Kleinanzeigen, or upon payment of the offered purchase price. The first day of the acceptance period begins on the day after the offer is received. In the case of payment, the date the payment is received by the seller is decisive. If the last day of the acceptance period falls on a Saturday, Sunday, or a public holiday recognized at the customer’s place of residence, the period is extended until the next business day. In the event of multiple acts of acceptance, the earliest time of acceptance shall be decisive. If the provider does not accept the customer’s offer within the acceptance period, no contract is formed and the customer is no longer bound by their offer.
9. Contract Text and Contract Language
- The Provider shall store the contract text (in particular the order details, product information, prices, these Terms and Conditions, and other legally required information) and make it available to the customer in writing, via email, or no later than upon delivery of the order or provision of the ordered service.
- The Provider may provide the contract documents to customers who are business entities both in writing and by other means (e.g., by reference to an online source).
- If customers have created a customer account, they can view the orders placed in their account area. The complete contract text is not accessible in the account area.
- The contract languages are German and English; contracts may be concluded in these languages.
10. Delivery and Availability of Goods
- The ordered goods will be delivered to the specified shipping address, unless otherwise agreed.
- If a payment service provider is used with which a shipping address is on file, and the customer’s use of the payment method notifies the provider of this shipping address as the one applicable to the ordered shipment, the goods will be delivered to that alternate shipping address.
- If the customer arranges to pick up the goods, the seller will notify the customer when the goods are ready for pickup at the agreed-upon pickup location. Unless otherwise expressly agreed, the customer will not incur any shipping costs in this case.
- If a delivery of goods fails for reasons attributable to the customer, the customer shall bear the costs incurred for the initial shipment and return to a reasonable extent. If the costs arise from the consumer’s exercise of the right of withdrawal, the aforementioned obligation to bear costs applies only to the costs of the initial shipment, while the provisions in the withdrawal policy apply to the costs of the return shipment.
- If delivery of the goods fails due to the customer’s fault despite three delivery attempts, the provider may withdraw from the contract. Any payments made will be refunded to the customer immediately.
- If the ordered goods are unavailable because the seller is not supplied with this product by its supplier through no fault of its own—in particular with regard to ensuring delivery and having made every reasonable and practicable effort to obtain it—the seller may withdraw from the contract. In this case, the seller will inform the customer immediately and, if applicable, offer to deliver comparable goods. If no comparable goods are available or the customer does not wish to receive a comparable product, the provider will promptly refund any payments already made by the customer.
- The provider shall not be liable to customers who are business entities for delays in delivery or performance due to force majeure or unforeseeable events that significantly impede or render delivery impossible, even in the case of bindingly agreed deadlines and dates. In this case, the provider is entitled to postpone the delivery or service by the duration of the hindrance plus a reasonable ramp-up period. The right to postpone the deadline applies to customers who are business entities even in cases of unforeseeable events that affect the operations of a supplier and for which neither the supplier nor the provider is responsible. For the duration of this hindrance, the customer is likewise released from their contractual obligations, in particular the obligation to pay. If the delay cannot reasonably be expected of the customer, the customer may withdraw from the contract by written declaration after setting a reasonable deadline or following mutual consultation with the provider.
- Customers are requested to report obvious shipping damage to the shipping company or carrier as soon as possible, or otherwise to notify us of the damage. This does not create any obligation for customers who are consumers; failure to report such damage does not limit the customer’s statutory rights or the enforcement of these rights, in particular the rights under warranty and the right of withdrawal.
- For customers who are business entities, the risk of accidental loss or accidental deterioration of the goods passes to the customer as soon as the provider has delivered the item to the shipping agent, the carrier, or any other person or entity designated to carry out the shipment; the specified delivery dates and deadlines—subject to any other commitments or agreements—are not firm dates.
11. Manufacture and Processing According to Customer Specifications
- If the contractual agreement between the contracting parties stipulates that the Provider shall manufacture or process the product to be delivered according to the Customer’s specifications, the Customer is obligated to provide the Provider with the information and materials necessary for the performance of the service and to cooperate as required (hereinafter collectively referred to as “Cooperation”).
- The customer will be informed of the required cooperation as part of the product description or the ordering process.
- In fulfilling their obligations to cooperate, the customer must, in particular when providing information and materials, adhere to the agreed-upon format, the agreed-upon method of transmission, and other agreed-upon technical specifications and deadlines.
- The customer agrees to provide only such information and materials and to perform only such acts of cooperation whose processing by the provider in accordance with the contract does not violate applicable law or the intellectual property rights of third parties. In particular, the customer undertakes to ensure that it holds the necessary rights of use and disposal for processing by the provider. The provider is not obligated to verify the legality of the processing or the customer’s cooperation.
- The provider shall not bear any costs associated with the customer’s cooperation.
- The Customer indemnifies the Provider, its employees, and representatives against any liability and/or claims by authorities or third parties arising in connection with the Customer’s cooperation and for which the Customer is responsible. The indemnification also covers all necessary and reasonable legal defense costs. Furthermore, in such cases, the customer shall assist the provider in defending against claims by providing reasonable and necessary cooperation and information.
- Based on a reasonable assessment, the Provider is entitled to reject processing orders—even after the contract has been concluded—where the Provider has objective grounds to assume a violation of applicable law, the rights of third parties, or public morality (this applies in particular to information and materials that are harmful to minors, discriminatory, offensive, or anti-constitutional) .
12. Promotional Coupons
- “Promotional coupons” are defined as coupons issued free of charge by the Provider as part of, for example, promotional campaigns (e.g., discount coupons offering percentage-based or fixed discounts). By contrast, coupons that represent a specific monetary or material value and are purchased by the customer as a product do not constitute promotional coupons.
- Promotional coupons may only be redeemed under the specified terms and conditions, subject to restrictions, such as validity for specific product groups, frequency of use, and, in particular, only within the specified time period.
- Unless otherwise stated, promotional coupons cannot be combined with other promotional coupons.
- Unless otherwise specified, promotional coupons issued to recipients may not be transferred to third parties.
- Promotional coupons issued by the provider may only be redeemed with the provider.
- Unless otherwise specified, promotional coupons may only be redeemed before the order process is completed.
- If a balance remains after a promotional coupon has been redeemed, it may be paid using the payment methods offered by the provider.
- If a promotional coupon exceeds the value of the merchandise, it will only be applied up to the value of the merchandise, and no cash refund will be issued for the remaining amount.
13. Customer Account
- The provider makes a customer account available to customers. Within the customer account, customers are provided with information about their orders and their customer data stored by the provider. The information stored in the customer account is not public.
- Customers may also place an order as a guest without having to create a customer account.
- Customers are obligated to provide truthful information in their customer account and to update this information to reflect changes in their actual circumstances, to the extent necessary (e.g., a new email address in the event of a change or a new mailing address prior to placing an order) . Customers are responsible for any adverse consequences resulting from incorrect information.
- Customers are responsible for their customer accounts within the scope of their control and to the extent that such responsibility is reasonable. It is the customers’ responsibility to exercise the utmost care when using their customer account login credentials and to take all necessary measures to ensure the confidential, secure handling of the data and prevent their disclosure to third parties. Customers are obligated to notify the Provider immediately if there is reason to suspect that a third party has gained knowledge of the login credentials and/or is misusing the customer account.
- The customer account may only be used in accordance with applicable legal provisions—in particular, regulations regarding the protection of third-party rights—and in accordance with the Provider’s Terms and Conditions, using the access interfaces and other technical access methods provided by the Provider. Any other form of use, particularly through external software such as bots or crawlers, is prohibited.
- If customers store, share, or otherwise publish content or information in their customer account, they are responsible for such content. Depending on technical capabilities, this content may include, for example, text, images, and personal information. The Provider does not endorse the customers’ content and does not identify with it. However, the Provider reserves the right to take necessary measures if there are indications of legal issues or risks to third parties. These measures are based on carefully selected criteria. The goal is to ensure that every action is justified. An assessment is made to determine whether a measure is necessary to resolve the problem or avert the risk. In addition, an evaluation is conducted to determine whether the measure is proportionate to the severity of the problem or risk. Furthermore, care is taken to ensure that the measure is taken with due diligence and following a thorough evaluation of all relevant information and circumstances. Finally, the measure must be based on an objective and unbiased assessment of the situation. Possible measures include deleting the content in question, requests for a statement or correction, warnings, legal action, or even bans from the platform. When deciding on these measures, the Provider carefully considers the requirements of the situation and the rights and interests of all parties involved. In particular, the fundamental rights of customers are taken into account to ensure a fair and equitable solution.
- Customers may terminate their customer account at any time. The provider may terminate the customer account at any time with reasonable notice, which is typically two weeks. The notice period must be reasonable for the customer. The provider reserves the right to terminate the account for extraordinary reasons.
- As of the date of termination, the customer account and the information stored therein will no longer be available to the customer. It is the customer’s responsibility to back up their data upon termination of the customer account.
14. Information on Prices and Shipping Costs
- All prices listed are final prices. The provider is subject to the small business exemption under sales tax regulations and therefore does not charge sales tax or value-added tax.
- Any delivery and shipping fees incurred in addition to the sales price will be disclosed to the customer in the respective product description and via a link before the order is completed.
- For deliveries to countries outside the European Union (EU) or the European Economic Area (EEA), additional taxes (e.g., import duties) or costs (e.g., bank fees) may apply. These charges are not paid through the provider but must be settled by the customer with the relevant tax or customs authorities. The provider recommends that customers inquire with the relevant authorities and consult the applicable national regulations to learn about any potential additional costs.
- Information page with details on delivery and shipping costs: https://skeld.de/policies/shipping-policy
15. Payment Methods and Terms of Payment
- Unless otherwise agreed, payments must be made without any deductions, discounts, or other reductions.
- When using financial institutions and other payment service providers, the payment service providers’ terms and conditions and privacy policies also apply with regard to payment. Customers are asked to observe these regulations and notices as well as the information provided during the payment process. This is particularly important because the availability of payment methods or the payment process itself may also depend on agreements between the customer and financial institutions and payment service providers (e.g., agreed-upon spending limits, location-restricted payment options, verification procedures, etc.).
- The customer is responsible for ensuring that they meet the requirements necessary for successful payment using the selected payment method. These include, in particular, sufficient funds in bank and other payment accounts, registration, identity verification, and authorization with payment services, as well as the confirmation of transactions.
- If a payment is not processed or is reversed due to insufficient funds in the customer’s account, incorrect bank account information, or an unauthorized objection by the customer, the customer shall bear the resulting fees, provided that the customer is responsible for the failed or reversed transaction and, in the case of a SEPA transfer, was informed of the transfer in a timely manner (so-called “pre-notification”).
- If the Provider assigns its payment claim against the Customer to a payment service provider, payment with debt-discharging effect may only be made to the respective payment service provider. The Provider’s contractual obligations toward the Customer—in particular, its obligations to perform and provide warranties, compliance with cancellations, and ancillary contractual obligations—are not affected by the assignment.
- Prepayment – If payment in advance via bank transfer has been agreed upon, the payment amount becomes due upon conclusion of the contract, unless expressly agreed otherwise. The Provider shall provide the Customer with its bank account information. Delivery will take place upon receipt of payment. If, despite being due, the prepayment has not been received by the provider within 10 calendar days of the order confirmation being sent—even after a reminder has been issued—the provider will withdraw from the contract, with the result that the order is void and the provider is under no obligation to deliver. The order is then considered settled for both the customer and the provider without further consequences.
- Credit Card Payment - When placing an order, customers provide their credit card information. The customer’s credit card will be charged immediately after the order is completed and after the customer has been authorized as the legitimate cardholder.
- Amazon - Payment is processed by Amazon, and the customer can pay the amount due by credit card or direct debit. The seller does not receive any customer payment data from Amazon. For items sold via Amazon Marketplace through the Amazon.de domain and for items marked with the note “Shipped by Amazon,” Amazon offers the following additional payment methods: monthly billing (in cooperation with arvato Payments Solutions GmbH), financing (in cooperation with “Barclaycard,” offered by Barclays Bank Ireland PLC Hamburg Branch), BLIK, Bancontact, iDeal, and Przelewy24. For BLIK, Bancontact, iDeal, and Przelewy24, the payment is charged immediately after the order is completed. For credit card, direct debit, monthly billing, and financing, payment is processed after the goods are shipped. For iDEAL, the customer needs a Dutch bank account; for Bancontact, a Belgian bank account; and for Przelewy24/BLIK, a Polish bank account. Financing requires registration with Barclaycard. Use of the “monthly billing” and “financing” payment methods requires a successful address and credit check for the customer. - Klarna PayNow Direct Debit – The customer grants Klarna a SEPA Direct Debit mandate. By granting the SEPA Direct Debit mandate, Klarna is authorized to initiate the payment transaction, which automatically debits the customer’s bank account. The customer is informed of the date the bank account will be debited (referred to as “pre-notification”).
- Klarna Invoice – This option is subject to Klarna’s successful verification of the customer’s address and creditworthiness. When purchasing on account, customers receive the goods first. The payment term is 14 days, unless otherwise agreed upon during the payment process. The merchant assigns its payment claim to Klarna. The customer is informed of the date the bank account will be debited (referred to as “pre-notification”).
- PayPal Plus (Credit Card) – Customers can pay via PayPal using a credit card even if they do not have a PayPal account. To complete the payment, the customer must verify their identity as the legitimate cardholder before the payment transaction is processed and the customer’s account is automatically debited.

The merchant assigns its payment claim against the customer to PayPal. A payment that discharges the debt may only be made to PayPal in accordance with PayPal’s terms and conditions.
- When using the PayPal “Checkout” payment method, the provider may utilize third-party payment service providers for the purpose of processing payments. The following information applies to PayPal and the respective third-party payment service providers mentioned (collectively referred to as “Checkout payment service providers”). The terms and conditions of the Checkout payment service provider communicated to the customer apply. If the provider offers purchase on account or installment payments through the Checkout payment service provider, the provider reserves the right to require that the customer’s address and creditworthiness be successfully verified by the Checkout payment service provider as a prerequisite for this payment method. The provider assigns the payment to the Checkout payment service provider. A payment that discharges the debt may only be made to the Checkout payment service provider in accordance with the terms and conditions and the selected or specified payment terms of the Checkout payment service provider. In the case of payment via a SEPA direct debit mandate, the customer must issue a SEPA direct debit mandate to the Checkout payment service provider. By issuing the SEPA direct debit mandate, the checkout payment service provider is authorized to initiate the payment transaction, which automatically debits the customer’s bank account. The customer is informed of the time at which their bank account will be debited (so-called “pre-notification”).
- Amazon Pay – Use of Amazon Pay requires registration for this payment method. - Paylax is a German digital escrow service that secures online purchases and sales (e.g., on platforms such as classifieds or for services). - Costs incurred due to reminders for overdue payments will be billed to the customer. The customer reserves the right to prove that no costs were incurred or that the costs were lower.
- In the event of late payment, the provider is entitled to charge late payment interest at the statutory rate and to assert other consequences and costs prescribed by law against the delinquent customer. The customer’s obligation to pay late payment interest does not preclude the provider from claiming further damages resulting from the delay. Damages resulting from default include costs associated with enforcing legal rights, such as costs for legal counsel, dunning procedures, or debt collection.
- Customers may exercise their right of retention only to the extent that the claims arise from the same contractual relationship.
16. Retention of Title
- If the Provider makes an advance delivery, the delivered products remain the property of the Provider until full payment has been made.
- For customers who are business entities, the following rules apply to products that remain the property of the Provider until full payment has been made (hereinafter referred to as “goods subject to retention of title”). If the Provider makes an advance delivery, the delivered products remain the property of the Provider until full payment has been made. The Supplier reserves title to the goods subject to retention of title until all claims arising from an ongoing business relationship have been settled in full; the Customer is obligated to handle the goods subject to retention of title with due care as long as ownership has not yet been transferred to the Customer. In particular, the customer is obligated, to the extent reasonable or customary in the industry, to insure the goods at their own expense against theft, fire, and water damage at replacement value. If maintenance and inspection work must be performed, the customer must carry it out in a timely manner at their own expense. Any processing or transformation of the goods subject to retention of title by the customer shall always be carried out on behalf of the supplier. If the goods subject to retention of title are processed together with other items not belonging to the supplier, the supplier shall acquire co-ownership of the new item in proportion to the value of the goods subject to retention of title relative to the other processed items at the time of processing. In all other respects, the provisions applicable to the goods subject to retention of title shall also apply to the item created through processing. The customer also assigns the claim to secure the claims against him that arise against a third party through the combination of the goods subject to retention of title with real property. The customer must immediately notify the supplier of any third-party claims against the goods owned or co-owned by the supplier. The customer shall bear any costs arising from such claims for an action to set aside a third-party claim or costs for an out-of-court release. The customer is entitled to resell the goods subject to retention of title in the ordinary course of business. The customer hereby assigns to the supplier, by way of security, in full, all claims arising from the resale or any other legal basis with respect to the goods subject to retention of title (including all balance claims arising from a checking account). The Supplier revocably authorizes the Customer to collect the claims assigned to the Supplier for the Supplier’s account and in the Customer’s own name. This authorization to collect may be revoked if the Customer fails to properly fulfill its payment obligations. The Provider undertakes to release the security to which it is entitled at the Customer’s request if the total sales value of such security exceeds the sum of all of the Provider’s outstanding claims arising from the business relationship by more than 10% (or by more than 50% if there is a risk of loss upon realization). The selection of the security to be released is at the Provider’s discretion.
17. Copyright and Usage Rights
- The documents, instructions, informational materials, products, and media made available to the Customer by the Provider—such as photographs, images, graphics, videos, or audio recordings (hereinafter referred to as “protected content”)—may, unless otherwise expressly agreed, be used exclusively for the Customer’s individual and contractually permitted use. Furthermore, they are protected by intellectual property rights, in particular copyright. The rights of use and exploitation of the protected content belong to the Provider or the respective rights holders. The Customer agrees to acknowledge and comply with these restrictions on use as well as the intellectual property rights.
- The Customer is granted non-exclusive rights of use to utilize the purchased protected content for purposes in accordance with the contract. Otherwise, the use and exploitation of the protected content is not permitted. In particular, protected content may not be reproduced, distributed, made publicly available, or otherwise made available to third parties on the Internet or on intranets.
- The customer is not authorized to modify the protected content in terms of content, technology, or editing, unless this is absolutely necessary for use in accordance with the contract, expressly permitted by the rights holder, or required by law.
- The Provider expressly reserves the right to use the protected content for commercial text and data mining. Text and data mining is the automated analysis of individual or multiple digital or digitized works to extract information therefrom, in particular regarding patterns, trends, and correlations. In particular, the protected content may not be used for the development, training, programming, improvement, and/or enhancement of AI systems (including, but not limited to, generative AI systems) that can directly or indirectly output content, regardless of whether such content is protected by copyright. Furthermore, the Customer agrees to take all reasonable and necessary measures to ensure that the purchased protected content is not subjected to text and data mining. This includes, for example, incorporating appropriate notices into the Customer’s own terms of use and ensuring that employees are instructed accordingly (particularly with regard to digital content). The specifics depend on the nature of the protected content and the manner of use.
- If the protected content is subject to a specific license agreement, customers will be informed of the terms of that license. In the event of a conflict between the license agreement and these Terms and Conditions, the provisions of the license agreement shall prevail.
- Permission to use the protected content is limited to private use and does not include commercial or business use. The transfer of the protected content or related materials (including texts, images, audio, video, or training materials) to third parties—even free of charge and even to friends, acquaintances, or business partners—is prohibited.
- If the Provider makes an advance payment, the Customer receives a simple, non-transferable right of use to the protected content, which is revocable until the full payment of the fees owed.
- If there is reasonable suspicion of misuse or a material violation of these provisions regarding the protection of the protected content, the Provider is entitled to take appropriate investigative and protective measures until the suspicion is resolved. In the event of serious violations or violations that continue despite a warning, the Provider is entitled to terminate the contractual relationship for cause. The customer is liable for damages incurred by the Provider as a result of a breach of duty for which the customer is responsible.
18. Right of Withdrawal
- Information regarding the right of withdrawal for consumers is set forth in the Provider’s notice of withdrawal. Customers are informed accordingly in compliance with legal requirements.
- The right of withdrawal does not apply to consumers who, at the time of conclusion of the contract and delivery, have their domicile, habitual residence, or delivery address outside a member state of the European Union (EU) or the European Economic Area (EEA) and do not belong to any of these member states.
- The provisions of these Terms and Conditions do not limit the customer’s statutory rights of withdrawal, rescission, termination, warranty, and claims for defects, nor any other mandatory rights of the customer, nor do they affect the customer’s related payment and other claims; these provisions are subordinate to such statutory rights.
- Customers can access the provider’s cancellation policy at the following web address: https://skeld.de/policies/refund-policy
19. Voluntary Right of Return
- The provider grants the buyer a voluntary right of return subject to the following conditions.
- The period within which the ordered goods may be returned is 30 days from receipt of the respective goods (the period begins on the day after receipt of the goods) or from the conclusion of the contract in the case of contracts for the purchase of digital content or services. Returns require that the goods be shipped no later than the last day of the period.
- The goods to be returned must be sent to the following address: Alexander Mettke, Am Rathausring 5, 74889, Sinsheim, Germany.
- The statutory right of withdrawal for customers who are consumers is not affected by compliance with the rules of the supplementary contractual right of return and remains in effect independently of this. This also applies to warranty rights, which consumers may exercise free of charge, and other rights and claims of customers with respect to the relevant products. If purchased products are returned within the withdrawal period based on the statutory right of withdrawal, the provisions regarding shipping and return costs as well as reimbursement of the purchase price are determined in accordance with the right of withdrawal and the withdrawal policy provided to consumers.
- Goods may only be returned in complete, unused, and undamaged condition.
- The voluntary right of return does not apply to goods that are not prefabricated and for whose manufacture an individual selection or specification by the customer is decisive, or that are clearly tailored to the customer’s personal needs.
- If goods are returned in accordance with this voluntary right of return, the provider will refund the customer the purchase price of the goods already paid.
- The original shipping costs for the goods to the customer (outbound shipping costs) will not be refunded under this voluntary right of return.
- The return shipping costs for the goods from the customer to the seller will not be refunded under this voluntary right of return.
- The refund will be issued using the same payment method the customer used for the original transaction, unless otherwise expressly agreed with the customer.
- Buyers are responsible for any loss in value of the goods if such loss is attributable to handling of the goods beyond what is necessary to assess their nature, characteristics, and functionality.
- The seller will refund the amount due as a result of the voluntary return to the buyer within 14 days of taking possession of the returned goods. The date on which the seller initiates the payment is decisive.
20. Warranty and Liability
- The warranty (liability for defects) and liability for other breaches of contract are governed by statutory provisions, subject to the following regulations.
- The provider may limit the warranty in the case of customers who are consumers if the provider has specifically informed the customers of this, the limitation of the warranty is expressly and separately agreed upon, and this agreement is made available to the customer on a durable medium.
- Notwithstanding the liability provisions of these Terms and Conditions, the statute of limitations for material defects for customers who are business entities generally begins one year after the transfer of risk, unless longer periods are mandatory by law, particularly in the case of special provisions governing the business entity’s right of recourse.
- For used goods, the warranty is excluded for customers who are business entities. This shortened period does not apply in cases of fraud, intent, gross negligence, injury to life, limb, or health, or a breach of essential contractual obligations—the fulfillment of which is essential for the contract to be performed and on which the customer may rely (cardinal obligations)—and where the Product Liability Act applies, as well as in the case of items used in a building in accordance with their customary use and a defect has arisen in the building.
- In the case of the purchase of used goods, the warranty claims of a customer who is a business owner expire one year after delivery of the goods, unless the defect becomes apparent within this period (in which case the defect must be asserted within the statutory warranty period of two years). This shortened period does not apply in cases of fraud, intent, gross negligence, injury to life, limb, or health, or a breach of essential contractual obligations—those without which the contract cannot be fulfilled and on whose fulfillment the customer may rely (cardinal obligations)—nor does it apply where the Product Liability Act applies, or to goods that were used in a structure in accordance with their customary use and a defect has arisen in the structure.
- If the customer is a business entity, the customer must inspect the goods without delay, notwithstanding statutory obligations to report defects, and must notify the supplier immediately in writing of any apparent material defects, and of any non-apparent material defects immediately upon discovery. Failure to inspect and report defects in a timely manner results in the exclusion of the right to assert claims for material defects.
- The customer’s statutory rights of recourse against the supplier—which cannot be waived by contract—under the entrepreneur’s right of recourse for purchases of consumer goods are not restricted.
- Deviations in quality, weight, size, thickness, width, finish, pattern, color, etc., that are customary in the trade, permissible under quality standards, or minor in nature do not constitute defects.
- In dealings with customers who are business entities, only the information provided in the product description or in product descriptions or manufacturer information expressly incorporated by the provider shall be decisive regarding the nature of the goods. Other information in the media or public statements, as well as information provided by the manufacturer or third parties, shall not be decisive.
- The provider assumes no liability for the customer’s Internet connection, the software and hardware used by the customer, or any disruptions to the formation or performance of the contract between the customer and the provider caused thereby.
- The provider is liable for damages without limitation to the extent that the cause of the damage is based on willful misconduct or gross negligence. Furthermore, the Provider is liable for the slightly negligent breach of material obligations, the breach of which jeopardizes the achievement of the purpose of the contract; for the breach of obligations whose fulfillment is essential for the proper performance of the contract and on whose compliance the customer regularly relies (cardinal obligations); or in the case of agreed warranty promises. In such cases, however, the Provider is liable only for foreseeable, contract-typical, and reasonably expected damages. The Provider is not liable for breaches of duties other than those mentioned above committed through slight negligence. The foregoing limitations of liability do not apply in cases of injury to life, body, or health; for defects arising after the Provider has assumed a warranty for the quality of the product; or in cases of defects fraudulently concealed. Liability under the Product Liability Act remains unaffected. To the extent that the Provider’s liability is excluded or limited, this also applies to the personal liability of employees, representatives, and vicarious agents. Otherwise, the Customer’s claims for damages are excluded. The foregoing liability provisions also apply to the Customer’s claims for damages under the Provider’s statutory warranty.
- The limitations on warranty and liability obligations, as well as the shortening of related time limits, do not apply to the customer’s claims for damages and reimbursement of expenses, to goods that have been used in accordance with their normal intended use in a structure and have caused its defectiveness, or to existing update obligations in the case of contracts for digital products.
- The limitations on warranty and liability obligations, as well as the shortening of related time periods, do not apply in the case of the customer’s mandatory recourse claims under consumer law. This applies in particular to claims for damages and reimbursement of expenses by consumers, to the shortening of time limits for products that have been used in accordance with their normal intended use in a structure and have caused its defectiveness, and to any update obligations under contracts for digital products.
21. Amendment of the Terms and Conditions
- The Provider reserves the right to amend these Terms and Conditions at any time, with future effect, in the case of continuing obligations (i.e., contracts running over a longer period of time under which services and/or consideration are provided) at any time with future effect in the following cases: a) If the amendment serves to bring the Terms and Conditions into compliance with applicable law, particularly if the applicable legal situation changes; b) If the amendment enables the Provider to comply with mandatory judicial or administrative decisions; c) If entirely new services or service elements, as well as technical or organizational processes, require a description in the General Terms and Conditions; d) If the amendment is solely beneficial to the customers.
- In the case of customers who are business entities, amendments may also be made in addition to the cases mentioned above, provided they are reasonable, appropriate, and objectively justified for the customer.
- The Provider will send the amended Terms and Conditions to the email address the customer has provided to the Provider at least two weeks before they take effect. If a customer does not object to the new Terms and Conditions within two weeks of receiving the email, the amended Terms and Conditions are deemed to have been accepted by the customer. Along with the notification of the change, the Provider will inform customers of the consequences of not objecting. Customers may also accept the amended Terms and Conditions by providing their express consent.
22. Data Protection and Confidentiality
The Provider processes personal data exclusively in accordance with applicable data protection laws. Details regarding data processing and the rights of data subjects are set forth in the Provider’s Privacy Policy.
23. Final Provisions
- The legal relationships between the customer—provided the customer is a business—and the Provider are governed exclusively by the laws of the Federal Republic of Germany, to the exclusion of the UN Convention on Contracts for the International Sale of Goods.
- The place of jurisdiction is the Provider’s place of business if the Customer is a merchant, a legal entity under public law, or a special fund under public law, or if the Customer does not have a general place of jurisdiction in the Provider’s country of domicile. The Provider reserves the right to choose another permissible place of jurisdiction.
24. Consumer Dispute Resolution
We are neither willing nor obligated to participate in dispute resolution proceedings before a consumer dispute resolution body.
- We provide a five-year warranty on our entire knife assortment. You may exchange a damaged knife for a new one. Each knife model may be exchanged only once. If a replacement cannot be provided because the defective knife is out of stock, you may select an equivalent knife. If the price of the kitchen knife you select is higher than the price you originally paid, you will pay only the difference. We may require the return of the damaged item or waive this right and replace the damaged item. We may refuse to refund or exchange the item until we receive the returned item or you provide proof of return, whichever occurs first. You are responsible for the cost of return shipping. Shipping costs are non-refundable. Depending on the circumstances, the condition of the item, or its use, we may also offer you a partial refund. In this case, there are no shipping costs for the return. A refund of the purchase price is generally excluded. Damage caused by gross negligence, misuse, or wear and tear is not covered by the five-year warranty. We always require clear, high-resolution photos for processing. Free products that are not part of standard orders are not covered by this policy. If the item delivered free of charge is damaged, you are not entitled to a replacement.
-
In addition, we would like to point out that goods that are expressly sold as “B-grade” and are marked as such on the invoice are not covered by the 5-year warranty. Defects or signs of wear that were already known at the time of sale—and which were the reason the goods were offered as “B-grade”—are considered known characteristics of the goods and therefore cannot be claimed as damage at a later date.
